1. Introduction
These Terms and Conditions (“Terms”) govern your use of the services provided by Same Ships Suppliers SL Ltd, a company registered in England and Wales under company number 16319162, with its registered office at 86–90 Paul Street, London, EC2A 4NE (“we”, “us”, or “the Company”). By engaging our services or accessing our website, you agree to be bound by these Terms.
2. Services
Same Ships Suppliers SL Ltd provides business support, organisational assistance, administrative consultancy, and related professional services to private clients and small businesses. The specific scope of services will be agreed in writing prior to commencement of any engagement.
We reserve the right to decline any engagement at our sole discretion. Nothing on our website constitutes an offer to provide services; all engagements are subject to a separate written agreement or statement of work.
3. Client Obligations
You agree to provide accurate, complete, and timely information necessary for us to perform the agreed services. You are responsible for ensuring that any materials, data, or instructions you provide do not infringe the rights of any third party or violate any applicable law.
Failure to provide required information or cooperation in a timely manner may result in delays for which we accept no liability.
4. Fees and Payment
Fees for services will be set out in the applicable engagement letter or invoice. Unless otherwise agreed, invoices are payable within 14 days of the invoice date. We reserve the right to charge interest on overdue amounts at the rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
All fees are quoted exclusive of VAT unless stated otherwise. Where applicable, VAT will be charged at the prevailing rate.
5. Intellectual Property
All intellectual property rights in deliverables created by us in the course of providing services shall remain vested in Same Ships Suppliers SL Ltd until full payment has been received, at which point ownership shall transfer to you as agreed in writing.
Our website content, branding, and materials are protected by copyright and may not be reproduced without our prior written consent.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement. This obligation shall survive termination of any agreement for a period of three years. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.
7. Limitation of Liability
To the fullest extent permitted by law, our total liability to you in connection with any engagement shall not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim.
We shall not be liable for any indirect, consequential, special, or punitive loss, including loss of profit, loss of business, or loss of data, whether arising in contract, tort, or otherwise, even if we have been advised of the possibility of such loss.
8. Termination
Either party may terminate an engagement by providing 14 days’ written notice, unless a different notice period is specified in the engagement letter. We reserve the right to terminate immediately in the event of material breach, non-payment, or conduct that we reasonably consider harmful to our business or reputation. Upon termination, you remain liable for fees accrued up to the termination date.
9. Governing Law
These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to These Terms
We may update these Terms from time to time. The current version will always be published on our website. Continued use of our services following any update constitutes acceptance of the revised Terms.
